Official Rules

1. NO PURCHASE NECESSARY TO ENTER. ENTRANTS MUST BE LEGAL RESIDENTS OF THE UNITED STATES AT LEAST 18 YEARS OF AGE AND HAVE A VALID EMAIL ACCOUNT AT TIME OF ENTRY. VOID IN ALASKA AND HAWAII AND WHEREVER PROHIBITED OR RESTRICTED BY LAW. Employees (and their immediate families) of MTV Networks, a division of Viacom International Inc. ("MTVN"), Activision ("Activision"), RedOctane ("RedOctane") and its parent, subsidiary and affiliated companies, or any person who has won an MTVN- sponsored national Contest or Sweepstakes in the twelve (12) month period preceding entry into this Contest are not eligible to participate.
2. Contest Period: VH1's Gamebreak "Guitar Hero III" Contest (the "Contest") The contest rules will be posted on http://www.vh1gamebreak.com (the "Website"), a website owned and controlled by MTV Networks, a division of Viacom International, Inc. ("MTVN") starting at or around 10:00 AM (ET) October 31, 2007 and ending at 11:59 PM (ET) on November 7, 2007 (the "Contest Period"). All entries must be received by 11:59 PM (ET) on November 6, 2007. Proof that you posted a comment to enter does not constitute proof or evidence that we actually received it within the Contest Period.
3. To Enter: Entrants may log on to the blog http://www.vh1gamebreak.com and post a comment of 150 words or less stating "Which Legend of Rock you'd like to play Guitar Hero III with, and why" and complete the online entry form as directed (the "Blog Entry"). Entries submitted in accordance with these Official Rules shall be collectively referred to hereinafter as the "Eligible Entries." Entrants may enter and post multiple comments as often as you wish but you may only win one (1) prize. Incomplete or inaccurate entries are void. There will be one (1) grand prize winner (the "Grand Prize Winner") selected from all Eligible Entries received. All entries become the property of MTVN. By participating, entrants acknowledge compliance with these Official Rules and MTVN' s Terms of Use and Privacy Policy including all eligibility requirements. MTVN, Activision, RedOctane, and any and all participating sponsors in connection with the Contest and its affiliates, subsidiaries, respective directors, officers, employees and agents are not responsible for any problems or technical malfunctions of any telephone network or lines, computer on-line systems, servers or providers, computer equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at any Web site, any human error which may occur in the processing of the entries in the Contest, or combination thereof, including injury or damage to participants or to any other person's computer related to or resulting from participating, uploading, or downloading materials in this Contest. If, for any reason, the Contest cannot be run as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of MTVN which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest or for any reason MTVN deems it necessary, MTVN reserves the right at their sole discretion to cancel, terminate, modify or suspend the Contest and the prizes may be awarded based on a random drawing that MTVN will conduct from among all Eligible Entries received as of the date of termination in MTVN's sole discretion. Entries that have been tampered with or altered are void. In the event of a dispute over who submitted an entry, such entry will be declared made by the authorized account holder of the email address submitted at the time of entry. An "authorized account holder" is defined as the natural person who is assigned to a telephone number, pager number or email address by a telephone company, wireless service provider, Internet access provider, Internet service provider, or other organization (e.g. business, educational, government, institution, etc.) that is responsible for assigning telephone numbers, pager numbers, wireless phone numbers, email addresses, for the telephone exchange associated with the submitted telephone or pager number or the domain associated with the submitted telephone, pager number or email address, as applicable. By participating in this Contest, entrants: (a) agree to be bound by these Official Rules and by the interpretations of these Official Rules by MTVN, and by the decisions of MTVN, which are final in all matters relating to the Contest; (b) to release and hold harmless MTVN and its agents, employees, officers, directors, successors and assigns, against any and all claims, injury or damage arising out of or relating to participation in this Contest and/or the use or misuse or redemption of a Grand Prize.
   
   Blog Entries must not contain, include or involve any of the following:
   • Obscenity
   • Private property, or other property unless entrant has obtained a signed property release specific for the uses specified herein
   • Crude, vulgar or offensive language and/or symbols
   • Derogatory characterizations of any ethnic, racial, sexual or religious groups, humiliate other people (publicly or otherwise), any assault or threatening of others
   • Any other content that is or could be considered inappropriate, unsuitable or offensive, as determined by MTVN, in its sole discretion
   
   Language contained in entries will be evaluated by MTVN based on the terms and conditions set forth in these Official Rules.
   MTVN reserves the right to reject any Blog Entry that it deems, in its sole discretion, to violate any of the policies of MTVN's "Standards and Practices Guidelines". MTVN may modify or edit any Blog Entry or request entrants to do so, so that the Blog Entry meets such guidelines.
4. Winner Selection/Notification: MTVN shall select the Grand Prize Winner based on the Judging Criteria in paragraph 5 below. MTVN will select the Grand Prize Winner on November 9, 2007 and will attempt to contact the potential Grand Prize Winner at the email address provided on contest entry page within 24 hours of being selected as the potential Grand Prize Winner (MTVN will make three (3) attempts via email to contact the potential Grand Prize Winner). If the potential Grand Prize Winner is unreachable, or the potential Grand Prize Winner does not confirm receipt of winner notification email within (3) business days of being notified as the Grand Prize Winner, or is found ineligible, or does not comply with these Official Rules, an alternate Winner will be selected at MTVN's sole discretion from among all of the remaining Eligible Entries received.
5. Judging Criteria: A panel of judges comprised of MTVN representatives (the "Judges") will select the Grand Prize Winning entry based on creativity (33 1/3%), originality (33 1/3%), and entertainment value (33 1/3%). The final determination and the application of the judging criteria shall be in the sole and absolute discretion of the Judges. All decisions of the judges are final. In the event of a tie or dispute or for any other reason that MTVN deems necessary, the Grand Prize Winner determination shall be made by MTVN.
6. Prizing: The Grand Prize Winner will receive the following:
   
   
   • One (1) Guitar Hero III controller autographed by Joe Perry of Aerosmith (ARV: $300.00)
   
   The Total Approximate Retail Value of the Contest is $300.00
   
   The tentative date for all prize fulfillment is November 16, 2007 and is subject to change at MTVN's sole discretion. The total approximate retail value of this Contest is $300.00. The actual retail value of this Contest depends on current existing market conditions at time of prize fulfillment. By accepting the Grand Prize, the Grand Prize Winner agree that he/she will not and will not authorize any third party to auction or sell the Grand Prize without MTVN's written consent, which consent may be granted or withheld in its sole discretion. Any expenses which are not expressly set forth in these Official Rules are the Winners' sole responsibility.
7. The specifics of all elements of any prize in the Contest shall be solely determined by MTVN. Some restrictions may apply. No substitution, transfer of any prize (or any part of a prize package) or cash alternative permitted, except by MTVN due to prize unavailability at time of award in which case a prize of equal or greater value will be awarded. Arrangements for the fulfillment of prizes will be made by MTVN. Grand Prize Winner must sign (a) an affidavit of eligibility and release of MTVN, Viacom International Inc., and any other participating sponsor(s) from any and all liability, claims, demands, and causes of action for personal injury and/or damage, theft, or loss suffered in connection with this promotion or the use or acceptance of the prize or any portion thereof to be eligible for the prizes; (b) where permitted, a promotional release granting the right to use his or her name and likeness for advertising and publicity purposes without additional compensation; entry into this Contest constitutes Grand Prize Winner's agreement to sign such releases. Grand Prize Winner must also complete, all legal documents and return them to MTVN within two (2) working days after receipt of such documents. Noncompliance will result in disqualification of the potential Grand Prize Winner and an alternate Grand Prize Winner may be selected from among all remaining Eligible Entries in MTVN's sole discretion. The receipt by any winner of any of the prize components of this Contest is conditioned upon compliance with any and all federal, state and local rules and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER (AT MTVN'S SOLE DISCRETION) WILL RESULT IN SUCH WINNER'S DISQUALIFICATION AS WINNER OF VH1's Gamebreak "Guitar Hero III "Contest AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.
8. The value of the prize(s) may be taxable as income. Upon receipt of any prize, all Winners are required to comply with any and all applicable federal, state and local tax that becomes due with respect to the prize(s).
9. Contest is open to all legal residents of the continental United States at least 18 years of age and must have a valid email account at time of entry. Employees (and their immediate families) of MTV Networks, Viacom International, Inc., Activision, RedOctane, and its parent, subsidiary and affiliated companies, or any person who has won an MTVN- sponsored national Contest or Sweepstakes in the twelve month period preceding entry into this Contest are not eligible to participate. Grand Prize Winner is subject to proving eligibility including verification of social security number, and is further subject to possessing a valid, government-issued photographic identification at the time of prize fulfillment. If Grand Prize Winner cannot furnish verifiable and valid proof of age within 48 hours after being notified of winning, an alternate winner may be chosen from among all remaining eligible entries received in MTVN's sole discretion. VOID IN ALASKA AND HAWAII AND WHEREVER PROHIBITED OR RESTRICTED BY LAW.
10. All interpretations of the rules and decisions by MTVN are final. MTVN reserves the right at its sole discretion to disqualify any individual it finds to be tampering with the entry process; to be acting in violation of the Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT BY A PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, VH1 RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. THE NEW YORK COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY OF THE CONTROVERSY REGARDING THE CONTEST AND THE LAWS OF THE STATE OF NEW YORK SHALL GOVERN THE CONTESTS. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THOSE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF THOSE COURTS.

    Vermont residents may omit postage. All requests must be received by February 6, 2008. Please note on the front left hand corner of your outer envelope that you are requesting the name of the "Winner".
12. Winner agrees that MTV Networks, Viacom International Inc., Activision, RedOctane, and their subsidiaries, affiliates, related companies and employees shall have no liability in connection with acceptance or use of any of the prizes awarded herein.
